                   A RESOLUTION AUTHORIZING AN AMENDMENT TO AN
                   INDEMNIFICATION AGREEMENT WITH DETREX
                   CORPORATION AND NATIONAL STARCH AND CHEMICAL
                   COMPANY, PREVIOUSLY AUTHORIZED BY RESOLUTION

       	    	 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
       CHATTANOOGA, TENNESSEE, that the Indemnification Agreement
       previously entered into on April 29, 1992 between the City of
       Chattanooga, Tennessee, Detrex Corporation and National Starch 
and
       Chemical Company, be and is hereby amended to allow the remedial
       contractors employed by Detrex Corporation and National Starch 
and
       Chemical Company to conduct soil borings on the right-of-way
       across Airway Boulevard from the portion of the right-of-way
       referenced in the previous Indemnification Agreement, for the
       purpose of expediting superfund remedial action;
       	    	 BE IT FURTHER RESOLVED, that all Indemnification
       requirements of the contract of the remedial contractor hired to
       do the project remain in full force and effect, as required by
       Resolution No. 19369.
